Agreeing to these terms

Using Woolix means you agree to these terms. Woolix is operated by Woolix, Inc., a Delaware corporation, and "we", "our" and "us" mean that company.

"You" means the person using Woolix and, if you use it for work, the company you use it for. If you sign in on a company's behalf, you are confirming you have the authority to accept these terms for it. You also need to be able to enter into a binding contract.

These terms will change as the product does. The date at the top says when we last changed them, and before a significant change takes effect we email the address on your account.

Use of service

Woolix is provided for personal and business use to automate tasks across connected services. You agree not to use it to send spam, harass other users of the integrated services, exfiltrate data you don't have rights to, or otherwise abuse the integration and AI providers we depend on.

Account responsibility

You are responsible for the OAuth grants you authorize and for what your agents do on your behalf. Review system prompts and tool selections before publishing an agent; once published, runs happen automatically on the schedule you set.

Your agents, and what they do

Your data is yours, and so is whatever your agents produce from it. We claim no ownership of either.

To run the service we need your permission to do three things with that data, and we use it for nothing else: read the content you point an agent at, send the relevant parts of it to an AI model provider so a model can work on it, and write results back to the services you connected. We do not sell your data, and we do not use it to train models.

Inside the permissions you granted, you are authorizing us to act for you. What your agent does in your connected accounts counts as something you did. You can narrow that at any time by disconnecting a service in Settings → Connections.

Check the work before you rely on it. Models get things wrong. They can be confidently inaccurate, and the same task run twice can come back different. Read what an agent produced before you send it to a supplier or make a decision on it, and especially before you do anything you cannot take back. Woolix does not give legal, customs, trade compliance, tax, or financial advice.

What we can change

Woolix is still being built. We add features, change how the ones you use work, and sometimes remove them, and we may stop offering the service altogether. If we are shutting down something you rely on, we tell you before it goes.

API costs

We may impose per-user daily token caps to prevent runaway costs. You don't owe us anything for our infrastructure costs today; if we add paid plans later, we will email the address on your account at least 30 days before any charge applies to it.

Termination

We may suspend or terminate accounts that abuse the service or violate these terms. You may delete your account at any time by contacting support@woolixai.com.

Limitation of liability

Woolix is provided as-is and as available, with no warranties of any kind, express or implied. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that what your agents produce will be accurate, complete, or suitable to act on.

We are not liable for indirect, consequential, incidental, special or punitive damages, or for lost profits or lost data, arising from your use of the service or the actions of agents you configure. For everything else, our total liability to you is capped at the greater of one hundred US dollars or what you paid us in the twelve months before the claim.

We are also not responsible for delays or failures caused by things outside our reasonable control, including outages at the services you connected, at the AI model provider, or at the providers that host Woolix.

Indemnification

If someone brings a claim against us because of how you used Woolix, you cover our costs: you defend us, and you pay the losses, settlements and legal fees that result. That covers claims arising from your use of the service, from what your agents did in your connected accounts, from content you put into Woolix, from your breach of these terms, and from your breach of the terms of a service you connected.

It runs both ways. We will tell you promptly when a claim arrives, you control the defense, and you will not settle in a way that admits fault on our behalf or costs us money without our agreement.

The rest

  • These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts of Delaware, and we both agree those courts can hear it.
  • Sanctions and export controls: you confirm that you are not located in a comprehensively sanctioned country, that you are not on a US restricted-party list, and that you will not use Woolix in a way that breaks US export control or sanctions law. If we believe otherwise, we may cut off access.
  • The services you connect are governed by their own terms, between you and those companies. We are not responsible when one of them changes, breaks, or shuts you out.
  • We own Woolix: the software, the name, and everything in the product. Using it gives you no ownership of any of that.
  • If you send us feedback, we can use it to improve Woolix, and we owe you nothing for it.
  • These terms are the whole agreement between us. They replace anything said in a demo, on a call, or over email.
  • If a court finds part of these terms unenforceable, the rest still stands.
  • The warranty disclaimer, the liability limit, the indemnification, our ownership, and the governing law all survive after your account ends.
  • We may transfer these terms to someone else, for example if the company is sold. You may not, without our written agreement.
